Rules and Regulations of the Performing Right Society Limited
The Society's memorandum provides for the Society to make rules regulating specific areas of the Society's business, such as the mode in which members may register their works, the mode and manner of distributions and complaints procedures. As such, the rules and regulations form part of the contract of membership between PRS and each of its members.
Under the articles, the Board is permitted to make or amend such rules in the first instance provided that the the provision in question does not take effect unless and until it is approved by the Society's members in general meeting. The articles also permit the Board to make regulations concerning the governance and operations of the Society. Such measures - which currently include the writers' loan scheme and the postal ballot regulations - are also required to be approved by the general meeting.

Memorandum and Articles of Association of the Performing Right Society Limited
The Society is a company limited by guarantee and by law is required to have a memorandum of association and articles of association, which together form its constitution.
The memorandum is principally concerned with the Society's external relations and, as required by law, lists the objects for which the Company may lawfully carry on business. The articles of association are concerned mainly with matters of internal governance and the rights and obligations of members as between themselves and in relation to the Society.
